The Role
The position sits within the firm’s highly regarded Equity Capital Markets practice, embedded in a top-tier corporate group. This team stands at the forefront of the ECM market, delivering advice on transactions at the highest level. Its experience spans the full spectrum of equity and equity-linked offerings, including:
- Initial Public Offerings (IPOs) on the premium and standard segments of the London Stock Exchange
- Multi-track processes combining IPO with private sale alternatives
- Rights issues, placings, open offers and block trades
- Retail offers under innovative platforms and regulatory frameworks
- Cross-border offerings requiring multi-jurisdictional regulatory coordination
- Complex financing structures combining equity and capital markets strategies
- Continuing obligations advice for listed companies, corporate governance and transparency rules
The group’s work is frequently headline-making, involving some of the largest and most strategically significant transactions in the European capital markets. Associates are actively involved at every stage, gaining significant client exposure and experience managing transactions with challenging timelines and regulatory complexity. Responsibilities include:
- Drafting and negotiating key transactional documents including prospectuses, underwriting agreements and shareholder circulars
- Advising clients on UK and EU regulatory requirements, including Listing Rules, MAR and disclosure regimes
- Coordinating international legal input across multiple jurisdictions
- Managing due diligence processes and working closely with clients and investment banks
- Providing strategic advice on governance and compliance matters for listed companies
What They’re Looking For
- England & Wales qualified solicitor with 1-5 years’ PQE in a leading ECM practice
- High-quality training and experience from a top-tier international, Magic Circle, Silver Circle or US law firm
- Demonstrable involvement in IPOs, secondary offerings and public company advisory
- Strong drafting skills with exceptional attention to detail
- Commercially minded, with the ability to provide proactive, solutions-driven advice
- Confident communicator and effective team player able to manage demanding workflows
- Ambitious and eager to thrive in a high-performance, client-focused environment
