Senior Counsel, Mergers & Acquisitions

📍 Remote (Preference for Eastern or Central Time Zones)

Are you a strategic legal leader with deep expertise in public company securities, corporate governance, and mergers & acquisitions? Our client’s growing organization is seeking a Vice President, Corporate Securities & M&A to serve as a trusted advisor to executive leadership and play a critical role in driving the company’s growth strategy.

This position offers the opportunity to lead high-impact transactions, oversee public company compliance obligations, and partner closely with senior business leaders in a dynamic, fast-paced environment.

What You’ll Do

Mergers & Acquisitions Leadership

  • Lead legal support for strategic acquisitions, from deal structuring and due diligence through closing and post-transaction integration.
  • Draft, review, and negotiate transaction documents, including purchase agreements, financing documents, and ancillary agreements.
  • Conduct legal due diligence to identify risks, liabilities, and opportunities.
  • Advise leadership on transaction strategy, risk mitigation, and operational considerations.

Strategic Business Partnership

  • Partner with Finance, Operations, Commercial, Investor Relations, and Compliance teams to align legal guidance with business objectives.
  • Provide practical, business-focused legal counsel to executive leadership.
  • Collaborate with senior legal leadership on department initiatives and organizational priorities.
  • Support strategic projects, equity offerings, partnerships, and growth-focused transactions.

Public Company Securities & Compliance

  • Prepare and oversee SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 filings.
  • Manage disclosure processes to ensure accuracy, consistency, and regulatory compliance across public communications.
  • Advise on corporate governance matters, Board obligations, committee activities, and policy development.
  • Support quarterly and annual earnings processes, including earnings releases and investor communications.
  • Administer insider trading compliance programs, blackout periods, and 10b5-1 plans.
  • Provide legal support for debt and equity offerings and other capital markets transactions.
  • Monitor regulatory developments and implement necessary compliance measures.
  • Serve as a key contact for regulators, stock exchanges, and external stakeholders.

Governance & Risk Management

  • Help ensure corporate policies and procedures align with legal and regulatory requirements.
  • Manage relationships with outside counsel while balancing cost efficiency and high-quality legal support.
  • Proactively identify, assess, and mitigate legal and regulatory risks.

Qualifications

Required

  • Juris Doctor (JD) from an accredited U.S. law school.
  • Active membership in at least one U.S. state bar.
  • Minimum of 5 years of experience at a leading law firm with significant exposure to:
    • Public company securities law, SEC reporting, disclosure requirements, and corporate governance.
    • Complex mergers and acquisitions transactions.
  • Proven ability to independently manage multiple high-priority matters in fast-paced environments.
  • Strong legal drafting, negotiation, analytical, and communication skills.
  • Ability to effectively advise executive leadership and Board-level stakeholders.
  • Demonstrated experience building trusted cross-functional partnerships.
  • Sound judgment, high ethical standards, and the ability to handle confidential matters with discretion.

Preferred

  • Combination of law firm and in-house public company experience.
  • Experience within a highly regulated industry.
