Legal Counsel (Corporate) – 9 Month FTC

Our client would like to employ a corporate legal counsel on a 6-12 month FTC basis. This is an urgent requirement which will need the ability to start immediately.

The Role:

This role will include supporting due diligence activities and working with a magic circle law firm and the General Counsel in a professional, discrete and pro-active manner to ensure the project keeps to tight timelines. The key duties of the role will include;

Supporting the General counsel with the Vendor Legal Due Diligence process; and a potential group restructuring of certain businesses. This will include:

• working through the Information Request List
• sourcing the applicable information from approved contacts within the Group
• populating the Virtual Data Room with sourced information
• ensuring materials are complete and indexed correctly in the VDR
• managing the follow-up Q&A inquiry process on the Legal Due Diligence, tracking the responses, liaising with external counsel and updating the Q&A register
• supporting the business mapping work and pre-sale re-organisation
• generally supporting deal execution as and where needed
• There may also be room and capacity for you to support the wider business and stakeholders with general commercial legal matters.

This may be an administrative-heavy role but a crucial one for the business and it does require a corporate solicitor with 2-5 years PQE (UK or other Jurisdiction) to confidently manage and support the General Counsel with these activities.

Salary: Please note this salary is a guide and will depend on PQE level. There is also a completion bonus for this project work.

Working arrangements: 3 days a week in London
