Corporate Counsel w/ Public REIT
Representing a publicly listed healthcare real estate investment firm, we are proud to be leading the search for a Corporate Counsel. This newly created role will support securities, governance, and transactional legal matters across a growing, acquisition-focused platform. This is a pivotal role offering the opportunity to influence processes, support capital markets activity, and partner closely with senior leadership in a high-growth environment.
As the Corporate Counsel, you will be responsible for:
- Assisting with public securities offerings, including preparation of offering materials and coordination of due diligence processes
- Supporting debt and financing transactions at the portfolio level, including structured and secured financings
- Drafting and reviewing SEC filings, including Form 8-K, 10-K, 10-Q, proxy statements, and beneficial ownership forms
- Reviewing and negotiating commercial contracts to ensure alignment with corporate policies and risk standards
- Preparing board materials, minutes, consents, and supporting broader corporate governance matters
- Assisting with M&A transactions, joint ventures, and real estate acquisitions and dispositions
- Reviewing investor communications, including press releases and investor presentations
- Managing multiple workstreams to meet deadlines while maintaining high standards of accuracy and responsiveness
- Acting as a generalist across the legal function, partnering with internal stakeholders across finance, operations, and leadership
To be successful in this role our client is looking for a:
- Attorney with 4 to 6 years of experience, gained at a top law firm and or in-house legal department
- Strong background in SEC reporting, public company obligations, and capital markets transactions
- Demonstrated experience drafting SEC filings, corporate governance documents, and commercial agreements
- Experience with EDGAR filing systems or similar reporting tools
- Exposure to real estate, REITs, or financial reporting is preferred but not required
- Highly detail-oriented professional with strong written and verbal communication skills
- Ability to manage competing priorities and work effectively in a fast-paced, deadline-driven environment
- Team-oriented individual who can also operate independently and take ownership of key initiatives
- Admission to practice law in a U.S. jurisdiction
