Securities and M&A Counsel

About the Role
As Corporate Counsel, you will support a wide range of corporate legal matters, with a particular focus on securities law, M&A transactions, and regulatory compliance. You will collaborate with internal stakeholders and external advisors to ensure legal and strategic alignment across business initiatives.
Key Responsibilities
- Draft, review, and negotiate complex domestic and international transactional documents, including:
- NDAs, LOIs, IOIs
- Asset and equity purchase agreements
- Securities filings and compliance documentation
- Joint venture and financing agreements
- Restrictive covenant and ancillary agreements
- Advise on securities law matters including SEC filings, disclosure obligations, and corporate governance.
- Coordinate with external counsel and specialists in M&A, securities, tax, antitrust, employment law, and insurance.
- Ensure compliance with applicable laws and regulations, including securities, antitrust, CFIUS, and foreign investment.
- Provide legal guidance to executive leadership and cross-functional teams.
- Lead or support special projects as needed.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active bar membership in good standing (Illinois preferred).
- Minimum 5 years of experience in a mid-to-large law firm or corporate legal department.
- Demonstrated expertise in securities law and transactional work.
- Strong analytical, research, and communication skills.
- Ability to manage multiple projects and meet tight deadlines.
- Proficiency in Microsoft Office Suite.
