Senior Legal Counsel (Corporate & Finance)

Location: Preferably Head Office (with flexibility to work remotely two days per week)

Reporting to: General Counsel, Chief Commercial Affairs Officer, or equivalent

The Opportunity

A highly skilled and motivated Senior Legal Counsel is sought to lead on all corporate and finance-related legal matters. This is a senior-level role with responsibility for managing legal work across corporate structuring, joint ventures, capital raising, funding arrangements, governance, and M&A activity.

The successful candidate will act as a key legal advisor to internal stakeholders, collaborating closely with executive and finance teams to deliver commercially sound and legally robust outcomes. This is a strategic and hands-on role, ideal for a seasoned legal professional looking to make a tangible impact in a fast-growing, purpose-driven business.

Key Responsibilities

Corporate & Transactional Legal Support

  • Lead legal workstreams for corporate structuring and M&A transactions, including SPAs, JVs, reorganisations, and shareholder agreements
  • Advise on group structuring and subsidiary governance, ensuring compliance with statutory and regulatory requirements
  • Draft, review, and negotiate legal documentation for capital raising and equity investments

Finance & Funding Oversight

  • Provide legal support for debt and equity funding, including loan agreements, subscription agreements, intercreditor deeds, and security documentation
  • Lead negotiations with lenders, investors, and other stakeholders, managing external counsel as needed
  • Support the finance team on legal aspects of both project-level and corporate-level financing

Governance & Risk Management

  • Support board governance activities, including drafting resolutions, maintaining statutory registers, and ensuring compliance
  • Advise senior leadership on legal risks and the structuring of complex transactions
  • Contribute to the development and implementation of legal policies and governance frameworks

Cross-Functional Collaboration

  • Partner with finance, commercial, and development teams to provide integrated legal support
  • Work closely with other legal team members to ensure alignment across all legal functions
  • Build and maintain strong relationships with external legal providers to ensure quality and cost-effective service delivery

Candidate Profile

Qualifications & Experience

  • Qualified solicitor (England & Wales) with a current practising certificate
  • 8-10 years PQE with a strong focus on corporate and finance law
  • In-house experience in renewable energy, infrastructure, or real estate development is preferred
  • Proven track record in managing complex transactions, including JVs, M&A, and funding deals
  • Experience in secondment or in-house roles is advantageous
