About the Role

We are seeking an experienced, business-oriented Senior Corporate and Compliance Counsel to join our Legal and Compliance Team. This role is ideal for a mid-level attorney with several years of experience who can independently handle a broad range of corporate and compliance matters. This role involves working on a broad variety of U.S. and Australian securities and corporate governance matters, as well as ensuring compliance with medical device and pharmaceutical regulations, serving both as a trusted business partner to the Commercial, Regulatory, and Medical Affairs teams and a transverse partner to the Finance and HR teams. The successful candidate will be comfortable operating in a fast-paced environment, balancing legal and compliance risks with business objectives, and providing practical, solutions-oriented guidance.

Key Responsibilities

  • Corporate Governance: Work in close coordination with the Chief Legal Officer, to:
    • Prepare pre-read materials for the quarterly and special meetings of the Board of Directors and its Committees.
    • Prepare meeting minutes (including resolutions), and maintain and organize minute books and governance records.
    • Assist with corporate governance filings in the U.S. and Australia.
  • Securities: Work in close coordination with the Chief Legal Officer and Associate General Counsel, to:
    • Draft and review securities filings (Forms 8-K, 10-Q, 10-K, and Proxy) for filing with the SEC and Nasdaq and, as applicable, for lodging with the Australian Securities Exchange.
    • Assist with government investigations and dispute resolution matters, including internal diligence and coordination of Company responses with regulatory bodies.
  • Compliance: Work in close coordination with the VP, Corporate Compliance, to:
    • Review and revise Company Compliance policies, and maintain current Compliance policy procedures (including the roll-out and tracking of employee training).
    • Advise internal stakeholders on compliance with relevant federal, state, and local laws and regulations (e.g., anti-bribery and corruption, medical device-specific and general Life Sciences industry rules and regulations).
    • Manage healthcare provider contracting through the Company’s internal Compliance system.
    • Manage and monitor transparency initiatives, including financial disclosures, payments to healthcare professionals, and other relevant interactions.
    • Implement best practices to promote industry-leading standards of care across the Company.
    • Collaborate cross-functionally with Finance and HR teams, as well as with the Commercial and Medical Affairs teams to enable business growth while mitigating legal and/or compliance risks.

· General Corporate:

o Support M&A transactions, financing, and other strategic corporate initiatives, including due diligence and post-closing integration.

    • Assist the Associate General Counsel and the Chief Legal Officer in managing outside counsel, including billing management.
  • Templates & Process Improvement: Create and maintain standardized agreement templates to streamline internal review processes.
  • General Legal and Compliance Support: Handle additional corporate and compliance initiatives as directed by the VP, Corporate Compliance and the Chief Legal Officer.

Qualifications & Competencies

  • Education & Credentials:
    • Juris Doctor (JD) from an accredited U.S. law school.
    • Active bar admission in good standing.
  • Experience:
    • 5 – 10 years of legal experience, preferably with a combination of law firm and in-house practice.
    • Strong background in corporate law, compliance, and general business counseling.
    • Excellent drafting, review, and communication skills with the ability to explain complex legal and compliance issues in clear, practical terms.
    • Strong business acumen, problem-solving skills, and ability to work both independently and collaboratively.
    • Demonstrated ability to manage multiple priorities in a fast-paced environment.
    • Experience in the medical device industry, or pharmaceutical or healthcare industries, strongly preferred.
  • Knowledge & Skills:
    • Excellent drafting, analytical, critical thinking, and negotiation skills.
    • Strong interpersonal skills, with the ability to work both independently and as a value-add team member in a collaborative environment.
    • Proven ability to build trusted relationships across teams.
    • High attention to detail, organizational skills, and discretion in handling confidential information.
    • Proficiency with legal and business software tools.
