Associate General Counsel
A dynamic and fast-paced investment firm is seeking a talented Associate General Counsel to join its legal team. This is a hands-on opportunity for a corporate attorney to work directly with senior leadership and contribute to innovative transactions and principal investments.
The company is a full-service global investment bank specializing in healthcare, technology, SPACs, and emerging growth sectors. With a strong track record in capital markets, M&A advisory, and institutional trading, the firm is also pioneering the integration of digital assets and blockchain into traditional finance.
Key Responsibilities
- Contract Drafting & Negotiation: Engagement letters, NDAs, shareholder agreements, commercial contracts
- Securities Law & Filings: Draft and review SEC filings, advise on regulatory matters
- Cross-Functional Collaboration: Partner with bankers, compliance, trading, and external counsel
- Litigation Support: E-discovery, subpoena responses, dispute-related documentation
- Principal Investments: Draft and negotiate equity-related agreements
- Corporate Governance: Manage entity formation and maintenance
- Legal Tech Integration: Utilize AI tools for research, contract analysis, and e-discovery
- Strategic Initiatives: Lead projects that enhance legal operations and firm innovation
Qualifications
- Education: J.D. from a top-tier law school
- Experience:
- 4-7 years at a top law firm (AmLaw 100 preferred)
- Strong background in capital markets, investment banking, or principal investments
- Familiarity with ’33/’34 Act, M&A, and securities transactions
- Preferred: Experience with SPACs, digital assets, dispute resolution, international deals
