Legal Counsel Corporate Governance
About our client:
Our client is a multinational, listed company operating in the offshore/energy sector. We are recruiting a Legal Counsel focused on Corporate Governance. This position is based in Switzerland.
About the role:
- Legal Compliance: Ensure adherence to laws, regulations, and governance principles. Conduct regular risk assessments and stay updated on legal changes.
- Company Lifecycle: Lead global incorporations, mergers, restructurings, and liquidations.
- Corporate Governance Drafting: Draft, review, and negotiate legal documents, including intercompany agreements and resolutions.
- Collaboration: Manage outsourcing partners for corporate filing and collaborate with internal stakeholders to address legal issues, particularly in joint ventures.
- Risk Management: Identify and evaluate legal risks in corporate operations. Develop strategies with the Head of Corporate Governance to mitigate risks.
- Assist in Corporate Governance: Support the development and updating of governance policies to align with legal requirements.
- Training and Development: Provide instruction on corporate governance for legal and non-legal staff. Develop tools for daily corporate administration.
- Corporate Secretarial: Maintain corporate records globally and assist with legal inquiries.
- Delegation of Authority: Prepare Powers of Attorney to safeguard board members.
- Document Management System: Contribute to developing and maintaining a new document management system with AI features.
About you:
- Master’s Degree in Law.
- Fluent in both spoken and written English.
- Proficiency in French or German is advantageous.
- Possess a minimum of 5 years of experience in Private Practice or as an In-House Counsel.
- A track record as a corporate lawyer focused on corporate governance.
- International experience managing portfolios of legal entities across various jurisdictions from a corporate legal standpoint.
- Strong interpersonal skills.
