The Role

The position sits within a globally integrated investment funds practice delivering the full scope of services across the fund lifecycle. This highly specialised team regularly advises on formation, structuring and regulatory compliance for investment vehicles across private equity, real estate, credit and infrastructure asset classes, while also supporting clients with transactions and operational challenges post-closing. Typical mandates include:

  • Fund Formation & Structuring: Acting on the creation and operation of flagship closed-ended and open-ended funds across a variety of strategies, including bespoke structures for international sponsor-led vehicles and investor-focused mandates. Designing complex carried interest and co-investment arrangements tailored to specific regulatory and tax considerations.
  • Secondaries: Advising on GP-led recapitalisations, LP stake sales, structured secondaries and continuation fund transactions for both sponsors and major investors, including portfolio restructurings that require intricate contractual negotiations and regulatory filings across multiple jurisdictions.
  • Management Company Transactions: Handling deals involving GP stake acquisitions, sponsor spin-outs, reorganisations of existing GP platforms and minority equity arrangements, requiring a deep understanding of long-term governance frameworks and commercial alignment between stakeholders.
  • Co-Investments & Managed Accounts: Structuring arrangements to allow strategic investors to deploy capital alongside sponsor-led deals, with an emphasis on tailored economics, governance and exit provisions.
  • Regulatory & Compliance: Advising on UK, US and European regulatory regimes such as AIFMD, MiFID II and ERISA; implementing compliance frameworks for cross-border fundraising; and ensuring investor protection and disclosure obligations are met.

Day-to-day, associates in this practice will draft and negotiate constitutional and governing documentation, investor side letters, fund agreements and secondary transaction agreements. They will also coordinate multi-jurisdictional input on tax, regulatory and commercial aspects, manage due diligence exercises, and liaise extensively with clients on structuring and operational strategy.

What They’re Looking For

  • England & Wales qualified solicitor with 2-6 years’ PQE, ideally from a leading international or US law firm
  • Broad experience in investment funds matters, including fund formation and governance; experience with secondary transactions or co-investment structures is welcomed
  • Strong technical drafter with an ability to negotiate across multiple stakeholder interests
  • Familiarity with cross-border regulatory frameworks, including AIFMD-related considerations; experience with investor-side mandates advantageous
  • Highly organised individual with commercial awareness and a solutions-driven approach to problem-solving
  • Confidence working autonomously within a fast-paced, client-facing environment and as part of a collaborative team handling global mandates
