Representing a leading publicly traded real estate investment company with a large national portfolio, we are proud to be leading the search for a Corporate Paralegal. This role will oversee entity management, corporate governance, compliance filings, and legal operations support across a complex corporate structure.

This is a highly visible role offering the opportunity to own critical governance processes and support strategic legal initiatives across the business.

As the Corporate Paralegal, you will be responsible for:

  • Managing the company’s entity management program and serving as the primary contact for corporate entity matters.
  • Maintaining corporate records, governance documentation, minute books, and organizational structure charts.
  • Coordinating entity formations, mergers, dissolutions, qualifications, withdrawals, and related corporate transactions.
  • Managing annual filings, franchise tax requirements, and state compliance obligations across multiple jurisdictions.
  • Partnering with tax, finance, and external advisors to support entity maintenance and regulatory compliance.
  • Supporting capital markets and financing transactions, including document preparation and due diligence coordination.
  • Managing trademark administration, renewals, and intellectual property recordkeeping.
  • Reviewing, tracking, and routing subpoenas, legal notices, garnishments, and bankruptcy filings.
  • Coordinating with internal stakeholders and external counsel on legal compliance matters, including real estate-related issues.
  • Managing legal invoices, departmental trackers, databases, filing systems, and document retention processes.
  • Providing ongoing support to attorneys, risk management professionals, and other legal department stakeholders.

To be successful in this role our client is looking for a:

  • Paralegal with a certificate from an ABA-approved paralegal program.
  • Professional with 5+ years of experience in a corporate legal department or similar corporate legal environment.
  • Candidate with demonstrated expertise in entity management, corporate governance, and corporate maintenance activities.
  • Individual with hands-on experience managing entity formations, annual filings, and multi-jurisdiction compliance requirements.
  • Professional with strong organizational skills and the ability to manage multiple priorities in a fast-paced environment.
  • Candidate with outstanding attention to detail and a commitment to producing high-quality work.
  • Strong communicator who can effectively explain legal and compliance matters to non-legal stakeholders.
  • Team-oriented professional who builds strong relationships across functions and levels of an organization.
  • Self-starter who can work independently while exercising sound judgment and discretion.
  • Paralegal with experience in real estate, REITs, capital markets, or related industries preferred.
  • Advanced user of Microsoft Office and experience with entity management systems preferred.
