Associate General Counsel – VC Fund (NYC)
Representing a leading venture capital firm focused on frontier technologies, we are proud to be leading the search for an Associate General Counsel. This newly created role will manage investments and commercial transactions in the crypto space while supporting compliance initiatives.
This is a pivotal role offering the opportunity to influence culture, build processes, and drive performance. As the Associate General Counsel, you will be responsible for:
- Owning legal work for all investments, including term sheets, negotiations, and due diligence, as well as post-investment corporate matters.
- Negotiating agreements with service providers such as custodians, brokers, and borrowers.
- Advising on entity structuring and regulatory issues related to investments and fund vehicles.
- Driving legal work for funds and SPVs, including agreements, LP matters, and advisory board approvals.
- Supporting compliance programs, including policy updates, monitoring investment activities, and preparing regulatory filings.
- Staying current on regulatory developments and industry trends impacting digital assets and venture investments.
To be successful in this role our client is looking for a:
- Qualified attorney with a JD from a top law school and 6+ years of experience in venture capital financings, M&A, and corporate governance.
- Proven ability to advise senior executives on complex matters and operate in fast-paced environments with minimal oversight.
- Strong organizational and project management skills, with experience building processes and systems from scratch.
- Familiarity with blockchain and digital assets; fund formation experience is highly desirable.
- Collaborative, low-ego professional who can build consensus among diverse stakeholders.
