Position Summary
We are seeking a highly skilled and detail-oriented Senior Corporate Paralegal to join our legal team. This role will play a critical part in supporting the company’s legal and compliance functions, with a strong emphasis on securities filings, corporate governance, and entity management. The ideal candidate will have extensive experience working in a corporate legal department, with a deep understanding of public company requirements and multi-jurisdictional entity operations.
Key Responsibilities
Securities & Compliance
- Prepare and file SEC forms (e.g., Forms 3, 4, 5, 8-K, 10-Q, 10-K, S-8, etc.) and assist with Section 16 reporting.
- Support the legal team in managing insider trading compliance and maintaining blackout period schedules.
- Assist with drafting and reviewing proxy statements, annual meeting materials, and other shareholder communications.
- Coordinate with finance and investor relations teams on disclosure matters.
Corporate Governance
- Maintain corporate records, board resolutions, minutes, and charters.
- Support board and committee meetings, including scheduling, preparing agendas, and distributing materials.
- Ensure compliance with corporate governance policies and procedures.
- Assist in the preparation and review of governance-related disclosures.
Entity Management
- Manage domestic and international subsidiary records, including formation, dissolution, and annual filings.
- Maintain entity management databases and ensure timely compliance with jurisdictional requirements.
- Coordinate with external counsel and service providers for global entity maintenance.
- Support M&A and restructuring activities from an entity perspective.
Qualifications
- Bachelor’s degree and Paralegal Certificate required.
- Minimum of 7 years of corporate paralegal experience, preferably in a public company.
- Strong knowledge of SEC regulations, corporate governance best practices, and entity management.
- Proficiency with entity management software (e.g., hCue, GEMS, Diligent Entities).
- Exceptional organizational skills and attention to detail.
- Ability to manage multiple priorities in a fast-paced environment.
- Excellent written and verbal communication skills.
Preferred Skills
- Experience with international entity management.
- Familiarity with equity administration platforms and stock plan compliance.
- Working knowledge of EDGAR and SEC filing platforms.
