Corporate Counsel, M&A – Healthcare

Key Responsibilities

  • Lead legal support for acquisitions, affiliations, and joint ventures involving physician practices and related entities.
  • Structure, draft, and negotiate a wide range of complex transaction documents, including:
    • Purchase agreements
    • Management services agreements
    • Employment agreements
    • Governance documents
  • Advise internal stakeholders on deal strategy, regulatory risk, and compliance considerations.
  • Collaborate cross-functionally with finance, operations, HR, compliance, and integration teams to ensure smooth execution and post-close integration.
  • Manage outside counsel during M&A and strategic transactions.
  • Conduct and oversee due diligence, including regulatory, corporate, and contractual review.
  • Support business teams in negotiating key economic and operational terms.
  • Ensure compliance with healthcare regulations, including:
    • Anti-kickback statute
    • Stark Law
    • HIPAA
    • Fraud and abuse laws
  • Contribute to the development and improvement of legal processes, templates, and playbooks for M&A.
  • Assist the General Counsel with complex or enterprise-level legal matters as needed.

Qualifications

  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing.
  • 5-10+ years of legal experience in a law firm and/or in-house legal department.
  • Strong background in M&A transactions, ideally within healthcare services.
  • Deep understanding of healthcare regulatory laws and compliance frameworks.
  • Proven ability to lead deals from LOI through closing.
  • Excellent drafting, negotiation, and communication skills.
  • Business-oriented mindset with strong judgment and problem-solving skills.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Self-starter with a collaborative approach.
