Associate General Counsel, Corporate Governance & Securities

Location: Arizona | Industry: Real Estate | Experience: 6+ Years

A leading public REIT is looking for an experienced and highly capable attorney to join its in-house legal team. This role focuses on securities compliance, corporate governance, and cross-functional legal support. The ideal candidate will bring deep experience in public company reporting, SEC compliance, and board-related matters, and thrive in a collaborative, fast-paced environment.

Key Areas of Focus:

Securities Compliance & Disclosure:

  • Prepare and review SEC filings including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 reports
  • Ensure ongoing compliance with the Securities Exchange Act of 1934 and NYSE requirements
  • Assist with the legal review of earnings releases, investor communications, and disclosure materials
  • Oversee insider trading compliance, including blackout period monitoring
  • Advise on Regulation FD and disclosure controls
  • Coordinate with outside counsel as needed on complex or specialized matters

Governance & Board Support:

  • Manage the legal and administrative aspects of board and committee meetings (agendas, minutes, resolutions)
  • Maintain governance documentation, including bylaws, charters, and policies
  • Advise on corporate governance best practices and developments
  • Support annual meeting and proxy preparation processes

Corporate Legal Advisory:

  • Work closely with Finance, HR, Compliance, and IR teams to align on disclosures and company initiatives
  • Advise on executive compensation and equity matters, including plan documents and grant processes
  • Provide legal support on M&A, financing, and other strategic transactions

Qualifications:

  • J.D. and active bar license in good standing (Arizona preferred)
  • At least 6 years of legal experience focused on securities and governance work
  • Background in a top-tier law firm or public company legal department strongly preferred
  • Strong command of U.S. securities laws and corporate governance practices
  • Excellent legal drafting, issue-spotting, and communication abilities

Preferred Experience & Traits:

  • Experience with platforms like Workiva or Diligent
  • Strong judgment and a pragmatic, solution-oriented mindset
  • Demonstrated discretion and professionalism in handling sensitive matters
  • Self-starter who thrives in a collaborative team environment
