This executive will serve as a trusted advisor to senior leadership, providing legal guidance across regulatory, governance, employment, commercial contracting, and corporate matters.<\/p>\n<p>The ideal candidate will have significant experience advising investment management firms, private fund managers, or financial services organizations and will play a critical role in helping the business navigate a complex regulatory environment while supporting the firm&#8217;s growth and operational objectives.<\/p>\n<p>This is not a transaction-focused role. The position will primarily focus on legal risk management, regulatory matters, corporate governance, commercial agreements, employment-related legal issues, and strategic legal advisory responsibilities.<\/p>\n<hr \/>\n<h2>Key Responsibilities<\/h2>\n<h3>Legal Advisory<\/h3>\n<ul>\n<li>Serve as the principal legal advisor to executive leadership and key business stakeholders.<\/li>\n<li>Provide practical legal guidance across business operations, strategic initiatives, and day-to-day management activities.<\/li>\n<li>Advise leadership on legal and regulatory developments affecting the investment management industry.<\/li>\n<li>Deliver risk-based legal advice that balances commercial objectives with regulatory obligations.<\/li>\n<\/ul>\n<h3>Regulatory &amp; Compliance Support<\/h3>\n<ul>\n<li>Partner closely with Compliance leadership on regulatory matters affecting the firm.<\/li>\n<li>Advise on legal obligations under the Investment Advisers Act and other applicable federal and state regulations.<\/li>\n<li>Support responses to regulatory examinations, inquiries, and investigations.<\/li>\n<li>Monitor evolving legal and regulatory requirements and assess their impact on the business.<\/li>\n<li>Assist in the review and enhancement of policies, procedures, and governance frameworks.<\/li>\n<\/ul>\n<h3>Corporate Governance<\/h3>\n<ul>\n<li>Support corporate governance matters, including board meetings, resolutions, entity management, and corporate records.<\/li>\n<li>Advise senior leaders on fiduciary duties, governance best practices, and legal risk considerations.<\/li>\n<li>Maintain corporate structures and oversee legal aspects of governance processes.<\/li>\n<\/ul>\n<h3>Commercial Contracting<\/h3>\n<ul>\n<li>Draft, review, and negotiate a broad range of commercial agreements, including:\n<ul>\n<li>Vendor agreements<\/li>\n<li>Technology and software contracts<\/li>\n<li>Service agreements<\/li>\n<li>Consultancy agreements<\/li>\n<li>Non-disclosure agreements<\/li>\n<li>Data processing and privacy-related agreements<\/li>\n<\/ul>\n<\/li>\n<li>Develop efficient contracting processes and legal playbooks.<\/li>\n<\/ul>\n<h3>Employment &amp; Human Capital Matters<\/h3>\n<ul>\n<li>Advise leadership and Human Resources on employment law issues.<\/li>\n<li>Support hiring, compensation, performance management, investigations, disciplinary matters, and employee separations.<\/li>\n<li>Review employment agreements, restrictive covenant agreements, and executive compensation arrangements.<\/li>\n<li>Manage employment-related disputes and coordinate with external counsel when necessary.<\/li>\n<\/ul>\n<h3>Privacy &amp;
