The role offers significant exposure to complex transactions involving solar, wind, battery storage, transmission, and other energy infrastructure assets.<\/p>\n<hr \/>\n<h2>Position Overview<\/h2>\n<p>The Counsel will provide legal support across a broad range of corporate, transactional, regulatory, procurement, and project development matters. This role partners closely with business leadership and cross-functional stakeholders to help structure, negotiate, and execute strategic renewable energy transactions throughout North America.<\/p>\n<p>Areas of focus include:<\/p>\n<ul>\n<li>Mergers &amp; acquisitions<\/li>\n<li>Project finance<\/li>\n<li>Joint ventures and partnerships<\/li>\n<li>Renewable energy offtake agreements<\/li>\n<li>Construction and procurement contracts<\/li>\n<li>Interconnection and transmission matters<\/li>\n<li>Real estate and permitting agreements<\/li>\n<li>Corporate governance and compliance<\/li>\n<li>Grid-scale renewable energy projects<\/li>\n<\/ul>\n<hr \/>\n<h2>Key Responsibilities<\/h2>\n<h3>Transactional &amp; Corporate Support<\/h3>\n<ul>\n<li>Lead negotiations, drafting, and legal review of commercial agreements and strategic transactions.<\/li>\n<li>Support acquisitions, divestitures, project sales, joint ventures, and partnership arrangements.<\/li>\n<li>Provide legal guidance on corporate structuring, governance, and risk management matters.<\/li>\n<li>Advise internal stakeholders on legal strategy for complex business initiatives.<\/li>\n<\/ul>\n<h3>Project Development &amp; Finance<\/h3>\n<ul>\n<li>Support project debt and equity financing transactions.<\/li>\n<li>Conduct legal due diligence for acquisitions, financings, and strategic investments.<\/li>\n<li>Assist with build-transfer, design-build-sell, and other development structures.<\/li>\n<li>Support renewable energy project development and execution activities.<\/li>\n<\/ul>\n<h3>Commercial Contracting<\/h3>\n<ul>\n<li>Draft and negotiate:\n<ul>\n<li>Procurement agreements<\/li>\n<li>EPC and construction contracts<\/li>\n<li>Equipment supply agreements<\/li>\n<li>Service agreements<\/li>\n<li>Master service agreements<\/li>\n<li>Consulting agreements<\/li>\n<li>Non-disclosure agreements<\/li>\n<li>Offtake and energy sale agreements<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h3>Regulatory &amp;
