- Managing compliance with SEC regulations, stock exchange requirements, and public company reporting obligations, including periodic filings and proxy materials.<\/li>\n
- Advising executive leadership and key stakeholders on disclosure matters, earnings communications, investor relations activities, and corporate communications.<\/li>\n
- Supporting corporate governance initiatives, including board and committee processes, meeting materials, resolutions, and minutes.<\/li>\n
- Advising on equity and debt financing transactions, acquisitions, divestitures, joint ventures, and other strategic corporate matters.<\/li>\n
- Providing guidance on domestic and international legal, regulatory, and governance issues.<\/li>\n
- Supporting equity administration programs, insider trading compliance, and Section 16 reporting obligations.<\/li>\n
- Assisting with corporate maintenance and governance of domestic and international subsidiaries.<\/li>\n
- Monitoring legal and regulatory developments, governance trends, and best practices, and providing practical guidance to internal stakeholders.<\/li>\n<\/ul>\n
To be successful in this role our client is looking for a:<\/strong><\/p>\n
- \n
- Juris Doctor degree and active legal qualifications required.<\/li>\n
- Attorney with 10+ years of relevant securities, governance, and corporate legal experience.<\/li>\n
- Minimum of 5 years’ experience within a leading law firm environment.<\/li>\n
- Prior in-house experience supporting a publicly traded company strongly preferred.<\/li>\n
- Strong knowledge of SEC regulations, public company reporting, corporate governance, and securities law.<\/li>\n
- Experience supporting capital markets transactions, strategic corporate transactions, and board governance activities.<\/li>\n
- Exposure to international business operations and cross-border legal matters preferred.<\/li>\n
- Proven ability to deliver practical, business-focused legal advice in a complex and fast-paced environment.<\/li>\n
- Excellent analytical, communication, stakeholder management, and project leadership skills.<\/li>\n
- Experience within manufacturing, industrial, energy, or other highly regulated sectors is advantageous.<\/li>\n<\/ul>\n
