Corporate Counsel

Location: Remote, candidates must be able to work on Eastern US Time

A fast growing technology company is preparing to transition into life as a newly public business and is seeking a Corporate Counsel to support its next stage of growth. This is an exciting opportunity to join a mission driven organization operating in a highly innovative sector, with teams across the U.S. and Europe. The company is scaling quickly and this role offers high visibility, autonomy, and the chance to build core public company governance structures from day one.

As a key legal partner to leadership, you will own public company reporting and securities compliance, advise on governance and board matters, support capital markets activity, and assist with employment and HR related issues. You will work closely with the General Counsel, CEO, and Chief Legal Officer while collaborating across finance, HR, and operational teams in a fast moving environment.

Key Responsibilities

  • Lead public company reporting, including preparation and review of 10 K, 10 Q, 8 K, proxy statements, and Section 16 filings
  • Ensure ongoing compliance with securities laws and public company requirements
  • Support board and committee governance, including materials, resolutions, and corporate records
  • Partner with leadership on capital markets matters tied to the company’s transition to public status
  • Assist with employment and HR legal matters, including policies, agreements, and workforce compliance
  • Collaborate with finance, HR, compliance, and technical teams to identify and manage legal risk
  • Support internal policies related to governance, ethics, data protection, cybersecurity, and AI
  • Provide practical legal guidance across a broad range of operational and strategic issues

Candidate Profile

  • J.D. and admission to at least one U.S. state bar
  • 5+ years of experience with strong exposure to public company reporting and securities compliance
  • Background in securities, capital markets, and corporate governance is essential
  • Experience in employment and HR matters is helpful but not required
  • Comfortable operating in a fast paced environment with cross functional teams across multiple time zones
  • Ability to work effectively with varied personalities and international teams
  • Mission oriented and steady, with a collaborative and thoughtful approach
  • Candidates with experience in technology, defense, aerospace, or government environments are welcome

Compensation

Base salary of 150,000 to 175,000 dollars, with bonus and equity to be finalized following the company’s public listing. Full benefits included.
