Senior Legal Counsel – SaaS Licensing
Location: Hybrid, New York City
I am working with a leading data security and analytics firm focused on protecting enterprise data from internal and external cyber threats. With a client base spanning various industries including finance, healthcare, and education, this company specializes in safeguarding sensitive data such as customer, patient, and intellectual property. In recent years, the company has experienced significant organic growth and maintaining a small but efficient legal team based primarily in NYC.
They are looking to hire a Senior Legal Counsel to join their legal department, reporting to the Associate General Counsel. The role will focus on SaaS agreements and software licensing, managing transactions from negotiation to completion while collaborating closely with sales, finance, and other departments.
Responsibilities:
- Draft, negotiate, and finalize a variety of commercial agreements, including SaaS contracts, distribution agreements, reseller contracts, and more.
- Provide legal expertise on privacy, security, and compliance issues related to software licensing and intellectual property.
- Offer legal advice to product teams, ensuring that new technologies and offerings comply with licensing and regulatory requirements.
- Collaborate with business teams to assess legal and business risks and propose effective solutions.
- Assist in developing operational policies, templates, and process improvements.
- Provide legal support on additional compliance matters and special projects across the company.
- Offer training to employees on relevant legal topics.
Experience:
- J.D. from an accredited law school and admission to at least one U.S. state bar.
- Minimum 6 years of experience in software licensing, with a focus on SaaS agreements.
- Experience in cybersecurity or working with a cybersecurity firm is preferred.
- Ability to manage competing priorities in a fast-paced, evolving environment.
- Strong problem-solving, organizational, and communication skills.
- Ability to work autonomously while maintaining a collaborative approach with internal and external stakeholders.
