Our client is a global media company who are looking for a Securities Counsel to assist with a broad range of corporate matters. The particular focus of this role will be on assisting with preparation and review of 10-K, 10-Q, 8-Ks and other SEC filings. You will also work on U.S. capital markets transactions, with some exposure to mergers and acquisitions work and other investments and strategic transactions.
The ideal candidate will have experience in:
- handling all aspects of SEC reporting, corporate finance transactions, corporate treasury functions, and general corporate matters;
- drafting and preparing SEC filings and reports (10-K, 10-Q, 8K, Proxy, Section 16)
- M&A transactions, including due diligence, contract negotiation, and contract drafting.
Transactions will consist of both domestic and cross-border deals, focusing mainly in the US and Latin America. The right candidate for this role will have worked and succeeded in a fast-paced, high-performing law firm or company dedicated to servicing global businesses.
To be considered for this role, you must have at least four years experience, preferably with time spent in an AM Law 100 law firm. Excellent academics and great interpersonal skills also required.
