M&A and Licensing Legal Counsel
We have been exclusively retained to source an M&A and Licensing Legal Counsel to join a top tier pharmaceutical company – distributing both OTC and prescription products, to source an M&A and Licensing Legal Counsel to join their headquarters.
Your key responsibilities will include:
- Providing legal support for the company’s worldwide acquisitions and other strategic transactions in all
- stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction
- documentation, and supporting closing transactions and post-closing integration.
- Providing legal support for structuring, drafting and negotiation of complex pharma licensing and strategic
- transactions with partners and help develop and recommend innovative solutions to complex legal and
- business issues.
- Drafting and assisting with the preparation of M&A and licensing related board and executive committee
- meeting materials.
- Assisting with other special corporate projects.
- Working closely together with our internal M&A team and with external advisors and experts.
- Managing projects effectively with a team-oriented approach.
- Manage all legal aspects and related documentation of relationships with partners.
Your profile:
- You have obtained a master’s degree in law.
- You have at least 5 years of experience as an M&A and licensing lawyer within a reputable law firm and/or a
- legal department of a pharma company.
- You have excellent negotiation and drafting skills
- You can be the primary in-house attorney on M&A, licensing and other corporate projects, including handling
- multiple simultaneous transactions or projects.
- You are business oriented with a problem solving / pragmatic approach.
- You work meticulously, have a hands-on mentality and your (verbal and written) communication is very
- You are a self-starter with team attitude.
The role is preferably based in Bologna.
