We are currently working with an international organisation who are looking for a Head of Governance to join their London team.

This role reports into the General Counsel and will be responsible for 3 – 4 direct reports, with the expectation to be in the office 2 days per week.

Some of the responsibilities will include:

  • To liaise with the Chairs, CEO and General Counsel with regard to the planning and preparation of agendas; ensuring that board papers are of a high quality and submitted and dispatched on time; overseeing and advising on board proceedings and helping the Chairs to ensure that meetings run smoothly
  • To develop and successfully roll out assurance frameworks that enhance and promote the governance system
  • To ensure that the companies’ Articles of Association and Rules & Regulations are amended in the light of new legislation or changing business needs
  • To ensure that the organisation complies with statutory and constitutional requirements for managing conflicts of interests, including conducting an annual survey of directors’ interests and maintaining the Register of Directors’ Interests

To be successful in this role, candidates will have the following

  • ACG / FCG qualification or be a qualified solicitor
  • At least 7 years’ experience at Assis CoSec or higher level within a medium/large organisation
  • A solid track record of successfully leading at a senior level in governance
  • An understanding of membership organisations
