Reporting into the Company Secretary the role will involve:

    • Supporting and working closely with the Company Secretary on all Governance and Company Secretarial related matters including papers for Board and Committee meetings, research and keeping abreast of changes in regulation and impact on the business
    • Deputise for the Company Secretary as and when required
    • Act as Secretary to the Group's Employee Forum
    • Collate and review details of Directors' conflict of interests for all subsidiary companies
    • Undertake class tests in respect of significant transactions in accordance with Listing Rules
    • Prepare documentation and undertake the class tests for related party transactions
    • Ensure any policies and procedures for which the Company Secretarial team are responsible remain up to date
    • Manage the Group's internal document depository Year End
    • Draft the Governance sections of the Annual Report and Accounts, ensuring compliance with all UK PLC legal and regulatory requirements including Listing Rules and the UK Corporate Governance Code
    • Draft Notice of AGM and ancillary documentation
    • Support the Company Secretarial Assistant with the organisation of the AGM
    • Draft Directors' Letters of Remuneration for PLC and subsidiary directors
    • Liaise with the External auditor as part of the year end audit process
    • Share Scheme Administration
    • Oversee the administration of the Company's share schemes in particular grant and vesting of Executive share scheme
    • Manage the launch and maturity of the Group's SAYE schemes and deal with any queries relating to the SAYE scheme, including leaver status
    • Keep the rules of the share schemes up to date in conjunction with the Group's advisor
    • Review Company's compliance with legal and institutional advisory groups' share dilution limits at least twice a year
    • Ensure the Employee Benefit Trust remains fully funded to satisfy share awards, in particular drafting of Letters of Recommendation
    • Prepare documentation in respect of blocklisting requirements of the Company and liaise with the Group's brokers in respect of submissions to London Stock Exchange;
      Day to day management of the Company Secretarial Assistant including interim and full year appraisals
    • Deal with shareholder queries on a day to day basis
    • Ensure the Governance section of the Company's website is kept up to date
    • Manage the transaction process, from a company secretarial perspective, for buying / selling companies as and when necessary
    • Work with Group Legal and Group Finance to streamline the Group's structure by way of strike off or liquidation
    • Maintain the Group's structure chart
    • Work with Group Finance in respect of Balance Sheet reorganisations including capital reductions, settlement of intercompany loans and payment of interim dividends
    • Provide Company Secretarial support to the Group's various joint ventures, including attending meetings and drafting minutes where necessary
    • Provide Company Secretarial support to the Group's London based onsite property management company in respect of their management companies including issuing of membership certificates and updating the Register of Members
