We are currently working with a FTSE 100 organisation looking for a Deputy Company Secretary to join their London team on a full-time basis.

Reporting to the Director of Corporate Governance, this role will be responsible for supporting and delivering an efficient and effective company secretarial service and corporate governance function.

Some of the key responsibilities include:

  • Ensuring compliance with the Companies Act 2006, UK Corporate Governance Code, UK Listing Rules, UK Market Abuse Regulation, Disclosure and Transparency Guidelines and other relevant regulations.
  • Overseeing the preparation and filing of statutory records and returns, including annual financial reports, AGM notices, and other shareholder communications, including identifying and facilitating the implementation of software solutions to streamline processes.
  • Taking the lead on production and management of the Corporate Governance-related sections of the annual report, producing first drafts of the Section 172 Statement, Corporate Governance Report, Directors’ Report and other statutory information
  • Liaising with internal stakeholders (e.g., finance, treasury, tax, and legal) on various projects and queries related to capital injections, refinancing, contract approvals, acquisitions, disposals, and restructuring.

Required qualifications and experience:

  • Qualified solicitor with significant experience in corporate governance of listed UK plcs.
  • Strong technical skills and knowledge of company law and corporate governance best practices.
  • Experience with governance software solutions
  • Previous experience in a similar role within or advising a large, complex international business.

This role operates a hybrid working policy with the expectation to be in the office 3 days per week.
