- Supporting the preparation, review, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements<\/li>\n
- Assisting with compliance related to Exchange Act reporting obligations and stock exchange listing requirements<\/li>\n
- Preparing and coordinating Section 16 filings and supporting insider trading compliance programs<\/li>\n
- Assisting with earnings releases, investor presentations, and other public disclosures<\/li>\n
- Supporting acquisitions, divestitures, joint ventures, strategic investments, and other corporate transactions<\/li>\n
- Managing legal due diligence processes and assisting with transaction execution and closing activities<\/li>\n
- Supporting equity offerings, debt financings, private placements, and other capital markets transactions<\/li>\n
- Assisting with Board and committee materials, corporate governance documentation, and annual meeting requirements<\/li>\n
- Drafting, reviewing, and negotiating NDAs, consulting agreements, vendor contracts, and other commercial agreement<\/li>\n
- Partnering with business stakeholders to provide practical legal guidance and support operational initiatives<\/li>\n<\/ul>\n
To be successful in this role our client is looking for a:<\/strong><\/p>\n
- \n
- J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction<\/li>\n
- Attorney with approximately 3-6 years of legal experience gained within a leading law firm and\/or publicly traded company<\/li>\n
- Experience supporting SEC filings, securities law compliance, and public company obligations<\/li>\n
- Experience with mergers and acquisitions, corporate transactions, capital markets, or corporate governance matters<\/li>\n
- Strong drafting, negotiation, and project management capabilities<\/li>\n
- Ability to manage multiple priorities and operate effectively in a fast-paced environment<\/li>\n
- Strong communication skills with the ability to engage cross-functionally with finance, executive leadership, and external advisors<\/li>\n
- Prior in-house experience is advantageous but not essential<\/li>\n<\/ul>\n
